Services. The Agency agrees to provide digital marketing services to the Partner’s clients under the Partner’s brand and trademark. The Partner will provide the Agency with all necessary information and materials to enable the Agency to provide the Services. The Partner agrees to review and approve all content and materials produced by the Agency before it is delivered to the Partner’s clients. Payment. The Partner shall pay the Agency for the Services provided to the Partner’s clients. The parties shall agree upon the pricing for the Services in writing. The Agency shall invoice the Partner for the Services provided to the Partner’s clients, and the Partner shall pay the invoice within 30 days of receipt. Revenue Share. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
